Participants will learn about the differences between governmental and private activity bonds, general bond finance rules as well as the roles bond counsel play in the financing process.

10:45 – 11:15 amSmall Issue Bonds for Manufacturers – The Rules

Small issue bonds are typically used to finance manufacturing-based projects. This session will help attendees understand the types of projects that might qualify for this form of financing and the caveats for its use.

11:15 am – NoonSmall Issue Exercise

Attendees will learn from case study examples about the “ins” and “outs” of small issue bond transactions.

1:15 – 2: 30 pm501 (c)(3) Bonds – The Rules

This session will explore 501(c)(3) bonds and the rules governing their use as well as the types of non-profits that might qualify for this form of financing.

2:30 – 2: 45 pm Break

2:45 – 3: 30 pmRole of Underwriters Counsel

Every bond transaction requires the careful involvement of many players. This session will specifically look at the role that underwriters counsel plays. Attendees will also learn about the documents they are required to produce as well as disclosure information.

3:30 – 4: 30 pmRole of Trustee

Trustees play an important role in the bond issuance and monitoring process. This session will examine the legal responsibilities of a trustee, the types of funds and accounts, how the electronic bond system works, trustee fee structure as well as the auction rate bond process.

9:00 – 9: 45 amHow Bonds Are Sold

Attendees will learn about the three primary methods of bond sale: negotiated, competitive and private placement. A class exercise will help attendees better understand this process.

9:45 – 10: 30 amRoles & Responsibilities of Finance Professionals

The issuance of bonds involves a large number of important players. This session will examine the roles and responsibilities of the underwriter, financial advisor and placement agent.

10:30 – 10: 45 am Break

10:45 – 12:00 pmStructuring & Sizing Bond Issues

This session focuses on structuring and sizing bond issues. Attendees will learn about serial and term bonds as well as call features, current interest, discount and premium bonds. The session will also cover how bond transactions are sized and the cost of issuance.

12:00 – 1:00 pm Lunch on Your Own

1:00 – 2:00 pm Bringing a Negotiated Issue to Market

Attendees will learn about the necessary steps required to bring a negotiated bond issue to market.

2:00 – 2: 45 pmThe Rating Agencies

The rating agencies play an important role in the bond issuance process. Attendees will better understand the role the rating agencies play, the meaning behind their ratings, the rating process and fees associated with ratings.

2:45 – 3:00 pm Break

3:00 – 4: 00 pm How IDBs are Structured & Placed

This session will provide the final glimpse into the bond process. Participants will learn about how industrial development bonds are structured and placed including public and private placement of unrated/unenhanced bonds, variable rate demand obligations/letter of credit and bank purchase options.
